《Koi Currency》User Agreement

【 Tip Terms 】

In order to provide you with better services, please carefully read the User Service Agreement (hereinafter referred to as "this Agreement"). Before using the products and services provided by Shanghai Jiuzhu Information Technology Co., Ltd, please read this agreement carefully - you should carefully read and fully understand all the terms in this agreement, especially the disclaimer clauses related to exempting or limiting the liability of ”Koi Currency“, necessary restrictions on your rights and information use, licensing, legal application, and dispute resolution clauses. Important content such as exemption or limitation of liability clauses will be highlighted in bold for your attention, and you should read them carefully.

Please carefully read and choose whether to accept or not to accept this agreement (minors should read with their legal guardians and obtain their consent before using the services provided by the platform). When you read and agree to this agreement and start using the services provided by ”Koi Currency“, it means that you have fully read, understood, and accepted all the contents of this agreement, and promise to be bound by the agreement as a party to this agreement. During the process of reading this agreement, if you do not agree with this agreement or any of its terms, you should immediately stop using the relevant services provided by ”Koi Currency“.

We may update the content of this agreement from time to time based on the situation, but we will inform you through application announcements, private message notifications, or update prompts; Once this agreement is modified, it will replace the original service agreement. If you have any questions about the modified agreement, please contact us promptly. If you do not agree to the amendments or changes made to this agreement and/or ”Koi Currency“, please immediately cease using all services and/or products provided by ”Koi Currency“.

Ⅰ、definition

1. This agreement is between you and the operator Shanghai Jiuzhu Information Technology Co., Ltd and its affiliated companies (hereinafter referred to as the "Company") of “Koi Currency”, regarding your downloading, installation, and use of “Koi Currency” and obtaining the services provided by “Koi Currency”.

2. "User" refers to all users who directly or indirectly acquire and use "Koi Currency" and related services, including natural persons, legal persons, or other organizations. In this agreement, referred to as "user" or "you".

Ⅱ、Usage Rules

1. You fully understand and agree that Koi Currency is only a platform for you to share, transmit, and obtain information. You should make your own judgments on the content of Koi Currency and bear all risks arising from the use of the content, including risks arising from reliance on the correctness, completeness, or usefulness of the content. Koi Currency cannot and will not be held responsible for any loss or damage caused by user behavior.

2. Any content you transmit in or through the Koi Currency service does not reflect the views or policies of Koi Currency, and Koi Currency assumes no responsibility for this.

3. You fully understand and agree that 'Koi Currency' provides a peer-to-peer instant sharing service based on user relationships. You are fully responsible for the authenticity, legality, and validity of your personal information on 'Koi Currency' and may not impersonate others; Do not use the name of others to disseminate any information; Do not maliciously use device or account information to mislead other users; Otherwise, Koi Currency reserves the right to immediately cease providing services, revoke your Koi Currency account, and assume all legal responsibilities arising therefrom.

4. You are fully responsible for the authenticity, legality, harmlessness, validity, etc. of the information transmitted on Koi Currency. Any legal responsibility related to the information you disseminate shall be borne by you, and shall not be related to Koi Currency.

5. The services provided by Koi Currency may include advertisements, and you agree to display advertisements provided by Koi Currency and third-party suppliers and partners during use.

6. You agree that you will use your account legally and will not maliciously use the account to cause damage or seek improper benefits to Koi Currency or any third party; You agree not to engage in any improper activities through the products and/or services provided by Koi Currency, including but not limited to the following situations：

(1) Opposing the fundamental principles established by the Constitution;

(2) Endangering national security, leaking state secrets, subverting state power, and undermining national unity;

(3) Damaging national honor and interests;

(4) Those who incite ethnic hatred, ethnic discrimination, and undermine ethnic unity;

(5) Disrupting national religious policies, promoting cults and feudal superstitions;

(6) Spreading rumors, disrupting social order, and disrupting social stability;

(7) Spreading obscenity, pornography, gambling, violence, murder, terror, or inciting crime;

(8) Insult or defame others, and infringe upon their legitimate rights and interests;

(9) Information containing other content prohibited by laws and administrative regulations.

7. Koi Currency may, based on its reasonable judgment, violate relevant laws and regulations or the provisions of this agreement; Koi Currency has the right to lawfully cease the transmission of any content that infringes upon, obstructs, or threatens the rights or safety of any person, or to impersonate others, and has the right to take appropriate legal action against any person who violates these terms at its own discretion, including but not limited to deleting illegal, infringing, inappropriate content from the Koi Currency service, terminating the violator's membership, preventing them from using all or part of the Koi Currency service, and preserving relevant information in accordance with laws and regulations and reporting to relevant departments. If the judicial department confirms that the above judgment of Koi Currency is incorrect, the user agrees that Koi Currency shall not bear any consequences arising therefrom.

8. User Rights and Obligations：

(1) The ownership of the "Koi Currency" account belongs to "Koi Currency". After using "Koi Currency" through the device, the user defaults to having an account bound to the device and obtains the right to use the "Koi Currency" account, which belongs only to the initial user.

(2) Users have the right to change or disable their personal permissions on Koi Currency, but it should be noted that disabling these permissions will also affect the use of all or part of the features of Koi Currency. The user shall bear the risk.

(3) The user shall comply with the terms of this agreement and use the service correctly and appropriately. If the user violates any of the terms of this agreement, Koi Currency has the right to terminate the service provided to the defaulting user account in accordance with the agreement.

Ⅲ、Entire Agreement

When you use the products and/or different services of Koi Currency, Koi Currency may formulate corresponding rules, notices, or guidelines based on the characteristics of different products and services. When you use the service, you should comply with the relevant rules, notices, or guidelines, which constitute a part of this agreement; Koi Currency attaches great importance to your personal privacy protection and has formulated a dedicated privacy policy, which also constitutes an integral part of this agreement.

If you have any questions about the rules, notices or guidelines, or about the privacy policy of Koi Currency, you can also contact the relevant customer service for consultation.

Ⅳ、Privacy Policy

You agree and fully understand that Koi Currency will collect relevant information and usage log information you post on Koi Currency in accordance with laws and regulations and the privacy policy published by Koi Currency. Koi Currency will strictly comply with the privacy policy of Koi Currency to collect your information.

Ⅴ、limitation of liability

1、Koi Currency reserves the right to provide you with replacement, modification, or upgrade versions of this "software" at any time, as well as the right to charge fees for replacement, modification, or upgrade. This' software 'has the' upgrade prompt 'feature enabled by default for users. Depending on the version of the' software 'used by the user,' Koi Currency 'provides users with the option to choose whether to enable this feature. After the release of a new version of the software, 'Koi Currency' does not guarantee the continued usability of the old version of the software. Koi Currency reserves the right to unilaterally change or restrict certain functions and effects of the software due to business development needs, and users shall bear this risk.

2. Koi Currency and/or partners will provide users with various Internet and mobile communication value-added services related to the "software", including free and paid value-added services, according to the development of the market and technology. Koi Currency and/or cooperating units reserve the right to charge fees for relevant value-added services and change the charging standards and methods; If the relevant services are changed from free to paid services, Koi Currency and/or the cooperating units will notify in an appropriate form. Users can choose to accept or refuse the paid services and guarantee that they will pay the fees according to the relevant charging regulations of Koi Currency and/or the cooperating units when using the paid services. If they refuse to pay or default on fees, Koi Currency and/or the cooperating units have the right to stop the services and recover losses and compensation in accordance with the law.

3. The user agrees to compensate Koi Currency and its affiliated companies for any claims, demands, or losses, including reasonable attorney fees, arising from or resulting from the user's violation of this Agreement or related service terms by any third party.

4. Koi Currency and its cooperating units shall not be liable for any losses suffered by users due to communication line failures, technical issues, network or computer failures, system instability, and other force majeure reasons caused by third parties such as the telecommunications department.

5. If the normal operation of the service is affected by uncontrollable events such as technical failures, Koi Currency and its cooperating units promise to cooperate with relevant units in a timely manner to handle and repair the issue. However, Koi Currency and its cooperating units shall not be held responsible for any losses suffered by the user as a result.

6. Like most Internet services, this service is affected by differences in factors including but not limited to user reasons, network service quality, social environment, etc., and may be harassed by various security issues, such as the harassment in real life caused by others using user information; Other software downloaded and installed by users or websites visited contain viruses such as Trojan horses, which threaten the security of users' computer information and data, and subsequently affect the normal use of this service. Users should enhance their awareness of information security and protection of user data, and pay attention to strengthening password protection to avoid losses and harassment.

7. Users must understand that the use of this service may be affected by various unstable factors due to the involvement of Internet services. Therefore, there is a risk of service interruption or failure to meet user requirements caused by force majeure, computer virus or hacker attacks, system instability, user location, user shutdown and any other technology, Internet, communication lines, etc. Users must bear the above risks, and 'Koi Currency' does not guarantee them. Koi Currency shall not be held responsible for any inability to send or receive reading messages, or for sending or receiving incorrect messages as a result.

8. Users must understand that there is a risk of anonymous or fraudulent information, including threatening, defamatory, offensive, or illegal content or behavior, or infringement of the rights of others (including intellectual property rights), from any other party during the use of this service. Users bear the above risks. Koi Currency and its partner companies do not make any type of guarantee, whether explicit or implicit, including all implied guarantees and conditions related to the authenticity, appropriateness, suitability for a specific purpose, ownership, and non infringement of information, and do not assume any responsibility for any direct, indirect, incidental, special, or subsequent damages caused by the user's improper or illegal use of the service.

9. The information content defined in Koi Currency includes: text, software, sound, photos, videos, and charts; All content in the advertisement; The commercial information provided by Koi Currency to users is protected by copyright, trademark, and other intellectual property and ownership laws. Therefore, users can only use this content under the authorization of Koi Currency and advertisers, and cannot copy, modify, compile, or create derivative products related to this content without authorization.

10. In no event shall Koi Currency be liable for any indirect, consequential, punitive, incidental, special, or punitive damages, including loss of profits suffered by users using the Koi Currency service (even if Koi Currency has been informed of the possibility of such losses). Despite any provisions to the contrary in this agreement, the full liability of Koi Currency to you, for any reason or by any means, shall not exceed the fees (if any) paid by you to Koi Currency during the membership period for using the Koi Currency service.

11. Koi Currency assumes no legal responsibility for the occurrence of the following related matters:

(1) Koi Currency provides your personal information in accordance with legal regulations or relevant government requirements;

(2) Any personal information leakage caused by you sharing your user password with others or registering an account with others, or any other personal information leakage not caused by the Koi Currency;

(3) Any disputes arising from the use of your personal information by any third party in accordance with the service terms and statements listed in Koi Currency;

(4) Any temporary website shutdown caused by hacker attacks, computer virus intrusions, or government regulations;

(5) Any consequences caused by force majeure；

(6) The usage methods or exemptions listed in the service terms and statements of “Koi Currency”.

Ⅵ、Intellectual Property Protection

1、intellectual property rights statement

(1) This software is developed by Koi Currency. All copyrights, trademark rights, patent rights, trade secrets and other intellectual property rights of the "software", as well as all information content related to the "software", including but not limited to: textual expressions and their combinations, icons, decorations, charts, colors, interface designs, layout frameworks, relevant data, printed materials, or electronic documents, are protected by the Copyright Law, Trademark Law, Patent Law, Anti Unfair Competition Law and corresponding international treaties and other intellectual property laws and regulations of the People's Republic of China. Except for software or technology authorized by third parties, "Koi Currency" enjoys the above intellectual property rights.

(2) Without the written consent of Koi Currency, users are not allowed to implement, utilize, transfer, or license any third party to implement, utilize, or transfer the aforementioned intellectual property rights for any profit or non-profit purposes. Koi Currency reserves the right to pursue such unauthorized actions.

2、Scope of Software Authorization

（1）Users can install, use, display, and run this' software 'on a single terminal device for non-commercial purposes. Users are not allowed to install, use, or run this "software" for commercial operation purposes. They are also not allowed to copy, modify, hang, run, or create any derivative works of the software or the data released into the memory of any computer terminal during the software's operation, as well as the interaction data between the client and server during the software's operation. This includes but is not limited to using plugins, plug-ins, or unauthorized third-party tools/services to access this "software" and related systems.

(2) Reserved Rights: All other rights not expressly authorized shall still belong to Koi Currency, and users must obtain written consent from Koi Currency when using other rights.

Ⅶ、Instructions for member purchase

1) Subscription price: We will hold promotional activities from time to time to provide users with better quality services. The specific subscription price is subject to the actual displayed price in the app.

2) Subscription payment: Automatic renewal of products requires user confirmation of purchase and payment before being credited to their iTunes account.

3) Subscription renewal: 24 hours before your membership expires, Apple will automatically deduct the fee from your iTunes account. After successful deduction, the validity period will be automatically extended by one cycle. If you do not cancel the subscription, Apple will attempt to deduct the fee irregularly during the deduction period. Please pay attention to the subscription and deduction situation in a timely manner.

4) Cancel Renewal: If you want to cancel the automatic renewal, please cancel it 24 hours before the current subscription period expires.

5）Cancellation method: For automatic renewal products that you have activated with your Apple ID, go to "Settings" - iTunesStore and AppStore "-" Apple ID "-" View Apple ID "- click" Subscription "on the account settings page - cancel Koi Currency automatic subscription.

6) When using “Koi Currency”, you need to register and log in to an account, which will enable you to access the membership content you have purchased from any IOS device.

Ⅷ、Dispute Resolution

You agree that if any disputes arise due to this agreement, please contact the company's customer service in a timely manner to reach a consensus with the company as soon as possible.
